Terms of Service.

Effective April 14, 2026

These Terms govern your access to and use of QED, the AI-native business email workspace. Read them carefully — they are a binding agreement between you and us.

§1

Acceptance of Terms

By accessing or using QED (the “Service”), you agree to be bound by these Terms of Service (“Terms”). The Service is operated by QED (“QED,” “we,” “us”). If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to both you and the organization.

§2

Description of the Service

QED is an AI-native business email workspace. It connects to third-party email providers (Gmail, Outlook, and other IMAP/SMTP servers) at your direction and provides a unified workspace for reading, composing, searching, organizing, and dispatching email. The Service includes AI-assisted features such as drafting, autofill, summarization, and agent handoff to autonomous browser-based assistants.

The Service is provided as a desktop application, a web application, and companion mobile applications. Features may evolve over time. We may add, modify, or remove features at our discretion.

§3

Your Account

You must create an account to use the Service. You agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you must comply with that organization’s acceptable-use policies in addition to these Terms.

§4

Connected Accounts

To use QED, you will connect one or more email accounts via OAuth or by providing IMAP/SMTP credentials. By connecting an account, you authorize the Service to access, read, send, modify, and delete messages and related metadata in that account on your behalf, in accordance with the scopes you have granted.

You may disconnect any account at any time. Upon disconnection, we will revoke our access tokens and delete locally cached message content associated with that account, subject to short retention windows for backups and audit logs.

§5

Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email or any communication that violates anti-spam laws.
  • Harass, threaten, defame, or impersonate any person or entity.
  • Distribute malware, phishing content, or other malicious payloads.
  • Violate intellectual-property rights or applicable export-control laws.
  • Reverse engineer, scrape, or attempt to derive source code of the Service.
  • Probe, scan, or test the vulnerability of the Service without authorization.
  • Use the Service to train competing AI models without our written permission.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice, where the conduct presents a risk to the Service or to other users.

§6

AI Features and Agent Handoff

The Service includes features that use machine learning models to draft messages, summarize threads, suggest responses, and complete tasks via autonomous browser-based agents. These features are tools — not advisors. You are solely responsible for reviewing any AI-generated output before dispatching it.

Agent handoff allows an autonomous agent to perform actions on the public web on your behalf, including filling out forms, navigating dashboards, and gathering information. You are responsible for the consequences of any agent task you authorize. Do not authorize agents to take actions that could cause harm to third parties or that violate the terms of any service the agent will access.

Outputs may be inaccurate, incomplete, or out of date. We make no warranty regarding the correctness of AI-generated content.

§7

Subscriptions, Trials, and Billing

The Service is offered as a free tier and as paid subscriptions. Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select, and are non-refundable except where required by law.

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period. We may change pricing on existing plans with at least 30 days’ notice; price changes apply at the start of your next billing period.

§8

Your Content

You retain all rights to the messages, drafts, attachments, contacts, and other content you transmit through the Service (“Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content solely as necessary to operate and improve the Service for you.

We do not sell Your Content. We do not use Your Content to train general-purpose AI models. AI features are scoped to your own data and to the messages you explicitly include in a request.

§9

Third-Party Services

The Service connects to third-party services such as email providers, calendar systems, and AI model providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of any third-party service.

§10

Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, QED disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data will be reliably stored or transmitted.

§11

Limitation of Liability

To the maximum extent permitted by law, QED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service.

Our aggregate liability for any claim arising out of these Terms or the Service shall not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

§12

Indemnification

You agree to indemnify and hold harmless QED and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

§13

Termination

You may terminate your account at any time by following the instructions in the Service or by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, if your account presents a security risk, or if we are required to do so by law.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including intellectual-property rights, disclaimers, limitations of liability, and indemnification — will survive.

§14

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice in the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

§15

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
